Would it be a serious conflict of interest for someone (me?) to teach at a school in a foreign country, while acting as an agent for a different school in my hometown?

How would I successfully strike a balance between the two jobs? I would not want the school where I teach to think I am taking business away from them, but at the same time I recognize that there are students who consider the immersion in an English-speaking country to be important and who would not be interested in an ESL course in their home country.
