or

All you have to do is nod your head and....

Are both correct grammatically and do they mean the same thing?

Both sentences are grammatical, the difference is one of form only. In the first sentence the to-infinitve to nod is used as the direct object of the verb is. In the second sentence the bare infinitive nod serves the same purpose as the to-infinitive in your first example.
