L*BRIDGE FOREIGN LANGUAGE SCHOOL

EMPLOYMENT CONTRACT

POSITION: ESL/EFL Instructor

The following employment contract is made between the following parties as listed and supersedes any previous contract made between the parties.

L*BRIDGE FOREIGN LANGUAGE SCHOOL
Ilsan, Goyang-si
Gyunggi-do, South Korea


The parties agree as follows:

I. TERM OF CONTRACT:

1. This contract will be valid for 12 months, from 2008 to 2009

II. DESCRIPTION OF SERVICES PROVIDED BY THE EMPLOYEE TO THE EMPLOYER:

1. The employee will be responsible for conducting professional and well-planned English language lessons to all students.

2. The employee is required to dress and behave professionally.(button down shirts and ties, no jeans, no sneakers, no hats)

3. The employee will work for L*BRIDGE FOREIGN LANGUAGE SCHOOL only. Any other employment, including any type of private tutoring, is contrary to Korean Law and will be considered a breach of contract, and employment will be terminated by the employer.

4. Working hours are 13:00~21:30 on Monday and Wednesday, 13:00~21:00 on Friday, and 14:00~22:30 on Tuesday and Thursday. Classes will be scheduled during working hours. All employees are required to be at work by 13:00 on Monday, Wednesday and Friday, and 14:00 on Tuesday and Thursday regardless of his/her first class schedule. Working hours can be changed during summer and winter session of the school year. These sessions take place in January and July/August of each year. During these sessions, the employee can be asked to work overtime. The employee may work more than the usual working hours (mentioned above). Overtime rules will apply as necessary and the employee will be compensated as outlined within this contract. Due to the way the Korean education system works, this schedule is unavoidable. We greatly appreciate the employee�s understanding as this could be a heavy load.

5. During the course of the year, the employee will be required to attend all the official meetings called by the school office. The employee is also required to attend unpaid L*BRIDGE functions such as year-end parties, day-trips, academic events, teacher's workshop, recreational days, and/or retreats. Such functions might be held on weekends or holidays.

6. The employee is required to attend the Parents and Teachers Meetings. It is usually held on the third week of the first month of each session. In addition, the employee is required to attend the monthly All-Teachers' Meeting held at noon each month, and Team-Meetings scheduled during working hours. Last, the employee is required to attend the Speech Contest as a judge. This event is held twice a year, on a Saturday around 3rd or 4th week of February and July.

7. Twice a year, the employee is required to participate in interviewing process for the new students. These events will be scheduled on the weekends between 3:30~6:30 (3 hours), and the employee can choose to come on either Saturday or Sunday. The interview is a paid event which he/she is compensated at \30,000 per event.

8. During the local middle school�s mid-term exam period, (the last week of April/June/September to the first week of May/July/October and the first ~ second week of December), some classes will be cancelled due to students� absences. However, these cancellations will not result in any deductions in the employee�s pay amount.

9. Around the 10th of each month, the employee will have a pay-meeting with the president of L*Bridge academy. The employee is required to attend this meeting for the duration of the contract or for a period agreed upon by both parties. Contract renewal, class schedule, and other matters will be discussed in the meeting. The employee must attend this meeting since it is extremely important for both parties.

III. PAYMENT FOR SERVICES RENDERED BY THE EMPLOYEE:

1. The employee agrees to teach up to 140 classes per month, Monday to Friday (total number of the classes will vary depending on the �team� that the employee is in).

2. In the event that the employee works overtime, the employee will be paid \19,000 won for a 40-minute class, \23,750 won for a 50-minute class, \42,750 won for a 90-minute class.

3. The employee is required to facilitate for additional classes. These classes may be scheduled outside of regular working hours, such as Saturday and Sunday classes. Such class schedules may occur for a period of up to 3 months, twice within the employment period. They will attract additional remuneration and all employees may be required to fulfill this obligation. The teaching hours of Saturday class will be paid at the rate of \19,200 won per hour for 40-minute classes and \24,000 won per hour for 50-minute classes.

4. The employer will pay the employee a minimum guaranteed monthly base salary of \( ) won per month during the period of the contract. The employee will be eligible for raises after completion of the first and the second contract. However, after the first two months of contract period, the management will evaluate the employee�s overall performance. This evaluation can affect the employee�s monthly base salary.

5. The employee will be paid on the 10th of each month. The money due to the employee for one full month of work will be paid on the 10th of the following month.

6. Severance pay which is an amount equivalent to the employee�s monthly base salary will be paid upon the completion of the 12-month contract period and complete discharge of the duties as per the Employment Contract. Severance will be paid on the fifth working day immediately following the completion of the contract.

IV. DESCRIPTION OF SERVICES PROVIDED BY EMPLOYER TO EMPLOYEE:

1. The employer will reimburse the employee for the one-way airfare to Korea on the third working day after the arrival. This will not apply if employee is already residing in Korea at the time of hiring.

2. At the end of the 12-month contract period, the employer agrees to provide a one-way ticket to the employee�s home country. If the employee wishes to stop by other destinations prior to arriving to his/her home country, the employee has to present a copy of the tickets issued by the airline company or the travel agency. The itinerary has to show that the employee is actually returning to his/her home country. Only upon these receipts, the employer will agree to pay 100% cash based on the current airfare of a one-way ticket to the employee�s hometown from Seoul, Korea. If the employee cannot present such receipts, then the employer will assume that the employee is staying in Korea. In such case, the employer will provide a moving subsidy which amounts up to \300,000 won.

3. The employer will provide a furnished "officetel" which is designated by the employer. The officetel includes a bed with fitted sheet, a blanket, a washer, a freezer, a stove and a TV. The employee will be responsible to pay all the maintenance bills including utility bill, gas, water, electricity, etc. If the employee chooses to opt out of the housing offer, a housing allowance of \300,000 won will be provided per month. If the employee breaks the contract without a 60-day notice, he/she is responsible to pay the last month rent, calculated based on the last day of his/her residence, plus a penalty of \500,000 won which includes expenses resulted by the cancellation of the lease term.

V. EMPLOYEE'S TERMINATION OF CONTRACT:

1. If for any reason, the employee chooses to terminate the contract before the completion of the contract period, the employee must give the employer a written notice at least 60 days before the termination. The termination of work will occur on the last class day of each semester. If the employee did not give the employer a written notice at least 60 days before the termination, the employee must pay two million KRW as a penalty.

2. If, for any reason, the employee chooses to terminate the contract before the full completion of the contract period, he/she will forfeit his/her severance pay, a ticket of a single passage to the employee�s home country and vacation bonus. Also, the employer will withhold following expenses from his/her salary: airfares involved in a one-way ticket to Korea provided to the employee at the hiring process and the recruiting fee paid by the employer to the recruiting agency upon hiring and expenses of sending the employee to the Korean embassy in Japan to complete the visa process. In addition, the employer will deduct the amount of utility bill, cleaning fee, etc. from the employee�s last salary. The employee must move out from the �officetel� in 2 days.

3. Within 10-days of the termination of the contract by the employee, the employer will withdraw his sponsorship of the employee's legal alien status within the Republic of Korea and so inform the Ilsan Immigration Office.

VI. EMPLOYER'S TERMINATION OF THE EMPLOYEE:

1. The employer retains the right to dismiss the employee if, for any reason during the period of the contract, the employee is unable to discharge the responsibilities or meet the conditions as described in the above agreement, as well as if the employee does not follow the rules as listed in the contract or mutually agreed upon.

2. The employer will give the employee at least a 7-day notice before the termination of the employee's current contract.

3. The employer retains the right to terminate the employee's contract immediately without recourse if:

3.1. Unable and/or refuse to discharge the responsibilities as set out in the contract.

3.2. Theft or illegal use of the property of L*BRIDGE or that of another employee.

3.3. Possession or use of intoxicants, either alcohol or illegally obtained drugs while on the premises of L*BRIDGE, or repeated absence from work due to indulgence in the same.

3.4. Immoral, indecent, threatening, or abusive conduct.

3.5. Acts of violence, threats of violence, fighting, or willful intimidation.

3.6. Willfully damaging the property of L*BRIDGE or that of another employee.

3.7. Willfully damaging the image of L*BRIDGE or that of another employee.

3.8. Serious negligence, which causes unacceptable loss, damage, or injury.

3.9. Knowingly falsifying any employment application form, employment record, expenses claim, or other L*BRIDGE statutory record.

3.10. Falsely reporting illness.

3.11. Unnecessarily boisterous or careless behavior in the work area, or distracting, or hindering others in one's work.

3.12. Removal of any of L*BRIDGE property from the L*BRIDGE premises without permission.

3.13. Poor timekeeping or frequent tardiness after being warned, or absence without good cause.

3.14. Failure to carry out any reasonable order without good cause.

3.15. Racial or sexual harassment.

4. The employer's decision will be final in such matters.

5. If the employer chooses to terminate the contract for the reasons mentioned above, the employer will withhold following expenses from his/her salary: airfares involved in a one-way ticket provided to the employee at the hiring process, and the recruiting fee paid by the employer to the recruiting agency upon hiring process and expenses of sending the employee to the Korean embassy in Japan to complete the visa process. In addition, the employer will deduct the amount of utility bill, cleaning fee, etc. from the employee�s last salary. The employee must move out from the �officetel� in 2 days.

VII. VACATION & HEALTH INSURANCE:

1. The academy provides 6 calendar days per year as vacation. The dates are set by the employer throughout the year. In addition, the employer will pay W500,000 vacation bonus to the employee at the end of full completion of the contract.

2. Employer will offer to pay 50% of the premium for the employee's health plans which are chosen by the employer and are administered through L*BRIDGE Foreign Language School. Participations in such plans are not required of the employee.

VIII. EMPLOYER'S RENEWAL OF CONTRACT:

1. The employer reserves the option to renew the contract, provided that the employee agrees to the renewal.

2. The employer will give the employee a 30-day notice before renewal or non-renewal of the employee's current contract.

IX. OWNERSHIP OF PATENTS AND/OR COPYRIGHTS

1. L*BRIDGE Ltd. will own all past, present, and future patents and/or copyrights for any inventions and any printable and/or publishable material produced by an employee of L*BRIDGE under the direct supervision of L*BRIDGE during the term of the contract.

X. VENUE FOR DISPUTES BETWEEN EMPLOYER AND EMPLOYEE:

1. This contract will be governed by the appropriate laws of the Republic of Korea.

XI. GOOD FAITH:

1. The employer and the employee will act in good faith toward each other. The employer will not dismiss the employee without what he reasonably considers good cause, and the employee will do his utmost to satisfactorily fulfill all the responsibilities and meet all the conditions as described in the above contract.

XII. FULL KNOWLEDGE

1. The employee agrees that he/she has read the entirety of this Employment Contract and taken independent advice upon it.
